These Terms of Service (“Terms”) govern your use of products, services, or any features, technologies, or functionalities related to merchant payment promise services (“Promise Services”) provided by Xusdt (“Xusdt,” “we”) through the Xusdt website, API, or any other means to you (“Merchant”).

By using the Promise Services, you accept and agree to be bound by these Terms and confirm that you have read, understood, and accepted all provisions.


1. Our Services

Xusdt is a blockchain/cryptocurrency payment tool that enables merchants to accept cryptocurrencies as payment methods in exchange for goods or services sold.

  • Non-Exchange Declaration: Xusdt is not a cryptocurrency exchange and does not provide cryptocurrency custody services.
  • Agency Authorization: By using the Promise Services, you authorize Xusdt as your agent to take all actions we deem necessary.

2. Representations and Warranties

The Merchant represents and warrants that:

  • They are authorized to accept these Terms on behalf of the Merchant.
  • The Merchant is legally established and in good standing.
  • Use of the Promise Services complies with all applicable laws and regulations.

3. Your Merchant Account

3.1 Account Opening and Registration

To comply with anti-money laundering and counter-terrorism financing regulations, Xusdt needs to collect relevant merchant information, including but not limited to:

  • Merchant name, address, contact information
  • Business-related documents (e.g., company registration documents)

3.2 Consumer Verification

Some transactions may require consumer verification due to AML/CTF compliance obligations.

3.3 Prohibited Uses and Activities

Merchants are prohibited from:

  • Illegal Activities: Violating any laws or regulations
  • Abuse: Interfering with Xusdt systems or other users
  • Fraud: Providing false information

3.4 Restricted Businesses

Certain businesses may be restricted, including charitable organizations, foreign exchange services, etc.


4. Use of Third-Party Services

Using Xusdt services may involve additional services or products provided by third parties. Merchants assume the risks of using third-party services.


5. Security and Wallet Safety

5.1 Security

Xusdt implements multi-layered security measures but cannot guarantee complete protection from unauthorized access.

5.2 Digital Wallet Security

Xusdt is not responsible for fund losses due to wallet security issues.

7. Intellectual Property

7.1 Service and Xusdt Website Ownership

Xusdt owns all intellectual property rights related to the services.

7.2 Use of Xusdt Trademarks

Merchants must use related trademarks according to Xusdt brand guidelines.


8. Advertising and Marketing

With the Merchant’s written consent, Xusdt may use the Merchant’s brand or information in promotional materials.


9. Invoicing and Fees

9.1 Invoice Generation

Merchants must create payment requests through Xusdt and bear exchange rate fluctuation risks.

9.2 Supported Cryptocurrencies

Xusdt may add or remove supported cryptocurrencies at any time.

10.1 Consumer Complaints

Xusdt reserves the right to suspend merchant accounts due to excessive complaints.

11.1 Miner Fees

Miner fees are determined by blockchain networks and relate to network congestion.

11.2 Payment Gateway Fees

Xusdt charges fees for cryptocurrency payment collection services.


12. Indemnification

Merchants must indemnify any claims, losses, or expenses arising from Terms violations.


13. No Warranty

Xusdt provides services “as is” without guaranteeing continuous availability or error-free operation.


14. Limitation of Liability

Xusdt is not liable for any indirect damages or loss of profits unless caused by gross negligence.


15. Miscellaneous

15.1 Taxes

Merchants are responsible for tax compliance.

15.2 Assignment

Merchants may not assign their rights under these Terms.

15.3 Governing Law and Arbitration

Terms are governed by Hong Kong law, disputes resolved through HKIAC.

15.4 Terms Updates

Xusdt reserves the right to update Terms and notify merchants via email.

15.5 Force Majeure

Xusdt is not responsible for service interruptions due to force majeure.

15.6 Confidentiality

Both parties must maintain confidentiality of disclosed confidential information.
